General Terms and Conditions for IVF Storage and Technology Services

Scope of Services

Cryofuture, Inc. provides specialized storage, handling, and transportation of human
reproductive tissues (including embryos, eggs, sperm, and related biological material) for
clients engaged in fertility treatment or long-term biopreservation. We also offer digital
tracking, status updates, and logistics tools via our platform.

Eligibility and Medical Oversight

Our Services are only available to individuals who are legally authorized to control their
reproductive tissues and who have obtained all necessary consents from their fertility
clinics or medical providers. We do not practice medicine, and any medical questions or
decisions must be directed to your treating physician or clinic.

Client Responsibilities

You are responsible for:

  • Providing accurate and complete information when requesting services
  • Ensuring that any clinic or third-party facility is authorized to release or receive your
    specimen(s)
  • Completing all required consent forms and payments prior to transport or storage
  • Notifying us promptly of any changes to your contact information or clinic arrangements

Storage and Transportation

All specimens are handled using validated cryogenic protocols. While we take every
commercially reasonable precaution to maintain the safety and integrity of your specimens,
we cannot guarantee viability, success of future treatments, or uninterrupted storage due to
events beyond our control (e.g., natural disaster, airline delays, regulatory hold).

Technology Platform

Our digital platform provides tracking updates, scheduling tools, and document
management. You agree not to misuse the platform, interfere with its operation, or attempt
unauthorized access. While we use secure systems, you acknowledge that no system is
entirely immune from risk.

Payment Terms

Service fees are due according to the pricing and billing terms provided during onboarding.
Failure to remit payment may result in delay or cancellation of service, including storage
termination in accordance with applicable law and ethical guidelines.

Compliance with Law

We comply with applicable federal and state regulations including tissue storage protocols, privacy regulations (e.g., HIPAA), and chain-of-custody best practices. Clients must not use our services in any way that violates law, regulation, or medical ethics.

Limitation of Liability

To the fullest extent permitted by law, Cryofuture, Inc. disclaims liability for:

  • Loss, damage, or non-viability of stored specimens due to events outside of our control
  • Failure of fertility outcomes related to stored materials
  • Third-party errors or delays in transportation or clinic handoffs
    Our total liability shall not exceed the fees paid by you for the specific service in question.

Indemnification

You agree to indemnify and hold harmless Cryofuture, Inc., its officers, employees, affiliates, and agents from any claims or liabilities resulting from your breach of these Terms or misuse of the Services.

Intellectual Property

All content, technology, branding, and tools on our platform and website are owned by Cryofuture, Inc. and protected by copyright and intellectual property laws. You may not reproduce, reverse-engineer, or misuse our materials.

Termination

We reserve the right to refuse or discontinue Services at our discretion if we determine that continued service would violate law, safety protocols, or our policies. In such cases, we will provide appropriate notice and transfer options as required by law.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Any dispute shall be resolved through confidential arbitration in Los Angeles, CA, unless otherwise required by law.

Consent Language (Patients and Clinics)

By engaging with our Services, patients and clinics acknowledge and agree to the storage, handling, and transportation of human reproductive materials as described herein. Patients
authorize the release and receipt of their specimens by the specified clinics and consent to the transmission of related documentation as required. Clinics confirm that they are acting
in accordance with applicable laws, patient instructions, and medical ethics.
