Automatic Payment Terms and Conditions

PLEASE CAREFULLY READ THE TERMS AND CONDITIONS FOR THE AUTOMATIC PAYMENT SERVICE. IF THESE TERMS AND CONDITIONS ARE NOT ACCEPTABLE TO YOU, PLEASE NOTIFY CRYOFUTURE IMMEDIATELY USING THE CONTACT INFORMATION BELOW.

These automatic payment terms and conditions will continue until you cancel. For as long as the Cryostorage Client Agreement (the “Agreement”) is in effect and you have not canceled this automatic payment service (the “Automatic Payment Service”), CryoFuture will send you in advance of each anniversary of your Commencement Date, notice via electronic mail or U.S. Mail that your Agreement is about to be renewed, along with a statement of any change in the amount of the Annual Storage Fee. You will have 30 days after the date of the notice (the “Opt Out Period”) to opt out and decline to renew the Automatic Payment Service. If you do not opt out during the Opt Out Period, the Automatic Payment Service shall be renewed for another year and the Annual Storage Fee as invoiced shall be charged in full to your credit or debit card on file with CryoFuture. The notice will include instructions for opting out of the Automatic Payment Service, instruct you on Agreement renewal, and provide alternative payment methods for the Annual Storage Fee in accordance with Section IV(A) of the Agreement.

A “Storage Period” is defined as the 365-day (or 366 days if it encompasses a 29-day February) period beginning on the date CryoFuture receives the Cryopreserved Specimens for storage (the “Commencement Date”). You shall pay an Annual Storage Fee for each Storage Period.

We hereby agree to the Automatic Payment Service and the automatic payment terms and conditions set forth herein.  We authorize CryoFuture, Inc., its agents, successors and assigns to charge the credit or debit card provided herewith the amount of the Annual Storage Fee annually until the earliest of the following: (a) we opt out of the Automatic Payment Service during an Opt-Out Period, (b) we advise CryoFuture of cancelation of the Automatic Payment Service, or (c) the Agreement is terminated, (d) CryoFuture terminates my participation in this payment option.

Other Terms and Conditions

Outside of the Opt Out Period, you may cancel the Automatic Payment Service at any time by contacting CryoFuture via phone at (650) 437-0503, via email at [email protected], or via U.S. mail at 2311 Palm Ave. San Mateo, CA 94403 Attention: Automatic Payment Service. Unless you also terminate the Agreement in accordance with the termination procedures in the Agreement, cancelation of the Automatic Payment Service will terminate only the automatic payments set up herein and you will continue to receive renewal notifications under Section IV.A of the Agreement.

Should you wish to resume the Automatic Payment Service, you would need to sign up once again by contacting CryoFuture via phone via (650) 437-0503, via email at [email protected], or via U.S. mail at 2311 Palm Ave. San Mateo, CA 94403 Attention: Automatic Payment Service for any questions relating to the Automatic Payment Service.

You represent and warrant that you have the authority to authorize the Annual Storage Fee charges to the credit or debit card you provided and that will be listed on each invoice. You agree to provide CryoFuture updated credit or debit card information in the event the card you previously provided is no longer valid or if you wish for CryoFuture to use another card. CryoFuture will only accept one credit or debit card per Agreement. In the event your card is declined for any reason, you agree to promptly pay any and all remaining balances and to update your card information.

You understand that your participation in the Automatic Payment Service is subject to CryoFuture’s approval.

In the event your credit or debit card number changes, you understand that CryoFuture may receive updated card information from the financial institution issuing the card and the authorizations you have made herein will remain in effect and shall apply to the new account number.

If a scheduled automatic payment is declined or otherwise fails, CryoFuture will notify the Client, and the Client shall have 30 days to rectify the payment issue. If payment is not received within that time, CryoFuture may charge a late fee in accordance with Section IV.A(iv).

CryoFuture reserves the right to modify these terms and conditions of the Automatic Payment Service. In the event of a material change in the terms of the Automatic Payment Service, CryoFuture will provide you with a notice of the material change and information on how to cancel the Automatic Payment Service. By continuing to use the Automatic Payment Service, you accept and agree to all revisions.

Subject to applicable law, CryoFuture reserves the right to terminate your participation in the Automatic Payment Service at any time.

You understand that you should verify with your financial institution whether additional charges apply and that CryoFuture shall not be responsible for any additional charges levied by your financial institution. 

You understand that if your payment is rejected, refused, returned, disputed, or reversed by your financial institution or card issuer for any reason, then CryoFuture has the right to charge a returned item fee and to terminate your participation in the Automatic Payment Service.

You understand and agree that CryoFuture is not liable for erroneous bill statements or incorrect debits/charges.

If a billing error occurs, CryoFuture is responsible for correcting it if and when you notify CryoFuture of the error.
